Representative Office

The application for representative office can be submitted to the BKPM (Investment Coordinating Board) or MoT (Ministry of Trade) as well as MoPW (Minister of Public Work). The application submitted to BKPM is for the representative office in the field of non-trading industry, the one submitted to MoT is for the representative office in the field of trading industry while the other submitted to MoPW is for represntative office in the field of construction either as contractor or service. Overseas corporations wishes to open a foreign representative office should have goods and/or products to be promoted and marketed in Indonesia. Service overseas companies with service products are unqualified to open a representative office.
In specific cases, the application for representative office should be submitted to the respective ministry of institution, for instance: application for representative office in banking sector should be submitted to Bank Indonesia and application for representative office in oil and gas should be submitted to Ministry of Energy and Mineral Resources.
The Standard supporting document for the establishment of Representative office in Indonesia are as follow:
  • Article of Association of Parent Company;
  • Appointment Letter for the Establishment of Rep. office in Indonesia;
  • Appointment Letter for the Chief of Representative;
  • Letter of Intent;
  • Power of Attorney (If the Establishment carried out by Proxy);
  • Identity of Chief of Representative (passport);
  • Identity of Director of Parent Company;
  • Statement letter that the Chief of Representative office will follow the prevailing laws and regulation in Indonesia.

Limitation

Unless for representative office in construction service, no commercial activities are allowed unless limited to market research, marketing, and supervisory.
